Three Arches Foundation and Healthy Lakewood Foundation
I have requested copies of the 990 forms from the Three Arches Foundation. I cannot find any recent filings on line.
I would like to get copies of the 990 for the Healthy Lakewood Foundation but I can't find their website.
Anyone out there have the information?
Ideally, the Foundations will post the tax filings on their websites. Since they are the beneficiaries of public funding it would be nice if they posted their check book on line.
It should be pretty simple. There is a beginning balance of $100. The source of the balance is listed on the website. Joe sends a check for $50, a deposit is listed on the web site with the notation "contribution from Joe". The Foundation writes a check for $10 to the ABC Foundation so the Foundation reports $10 sent to ABC Foundation with a link to the application and the ABC Foundations web site. The balance is now$140.
Perfectly transparent and perfectly simple.

Go back through the LO Archives (boy do they hate the archives) you will see this crew is not real big on answering public requests. After months of asking financials in a previous group. The whole time attacked by sycophants, and board members, calling us negative! (sound familiar) Intimidation, Demanding to see the books of a private business that accepts no public funding, before even thinking of showing the group's run on public funding. When that private business opened their books, they were a no show. Let's not forget the person leading the "show your businesses books first was a Councilman appointed to council. (sound familiar) When they finally supplied something it was a pie chart! I do not see them being more responsive to requests on what they do with the money meant for mostly for improving Lakewood Hospital or at least wellness in Lakewood, not the region. (sound familiar) That pretty much sums up Lakewood way.
I mean, Bill you know first hand what just went down.
The civic leaders and elected officials for the most part in this city are more concerned with being in theory legal, than accountability. Transparency! I am dying! Only a campaign slogan.

Simple, if you raise or request funds from the public on the pretense you are non profit or profit organization and keep the funds, your will be charged with theft by deception. If you have a problem with no response to required tax forms, notify the local police. Oops this is Lakewood, notify the IRS and states Attorney Generals office.

It should be noted that Healthy Lakewood Foundation, has made every effort to be accountable along the way to being formed.
There are more than a handful on the Board dedicated to honesty, and accountability.

I received a copy of the 2017 990 in a reasonable amount of time. I don't really expect a response to my other questions.
The 990 reports that a "consortium" of supported organizations has been formed so the Foundation will not report supported organizations in its governing document:
SUPPORTED ORGANIZATIONS ARE NOT LISTED BY NAME IN THE GOVERNING
DOCUMENTS AS THE THREE ARCHES FOUNDATION SUPPORTS A COMMUNITY
COLLABORATIVE OF CHARITABLE ORGANIZATIONS THAT PROVIDE PROGRAMS,
SERVICES AND INITIATIVES THAT ADVANCE THE HEALTH AND WELL-BEING OF
CITIZENS OF LAKEWOOD AND SURROUNDING COMMUNITIES.
THE ARTICLES OF INCORPORATION.
Color me skeptical but if a consortium has been formed then the consortium has members and if the consortium has members someone must know who those members are and if someone knows who those members are then the Three Arches Foundation should let the public know is a member of the consortium. The money in the Foundation is not private money. The people of Lakewood have a beneficial interest in the Foundation and has a right to know who is being paid and for what purpose.
The only organization supported in 2017 listed in the 990 was the Cleveland Clinic.
Mark Kindt made this observation about the 990:
"Mr. Call, with respect to a 990 filing for the Healthy Lakewood Foundation, I do not believe that foundation has been in operation long enough to trigger its filing requirements with the IRS. Thank you for posting the other Form 990s for public review."
The IRS requires the filing of a 990 if the organization has any revenue. The Master agreement required the distribution of funds to the Healthy Lakewood Foundation:
Initial $24.4 Million Cash Payment to New Foundation. The parties agree
and acknowledge that the payments under this Section 6.1 constitute (i) an exchange for the right
to receive LHA's assets upon its dissolution (as described in Section 3.3(d)), and (ii) to the extent
the value of such assets is less than the payment amount, a contribution to the New Foundation to
be used in the furtherance of New Foundation's tax-exempt purposes. In recognition of the
parties' intention that these payments be used for the benefit of the Lakewood community and its
residents and to support New Foundation's tax-exempt purposes, the Clinic and/or LHA will
transfer or contribute a total of Twenty-Four Million Four Hundred Thousand Dollars
($24,400,000) to New Foundation (using LHA funds to the extent available as contemplated in
Section 3.3(b)) as follows:
(1) Transfer/contribute Two Hundred Thousand Dollars ($200,000) to
New Foundation in immediately available funds on or before March 1, 2016;
(2) Transfer/contribute Seven Million Six Hundred Thousand Dollars
($7,600,000) to New Foundation in immediately available funds on the date of the
commencement of operations and provision of patient care at the FHC (the "FHC
Commencement Date").
(3) Transfer/contribute Four Million Three Hundred Thousand Dollars
($4,300,000) to New Foundation in immediately available funds on the second anniversary of the
FHC Commencement Date;
(4) Transfer/contribute For ... annual contributions.
If the Healthy Lakewood Foundation has not received any revenue from the Cleveland Clinic then the Clinic is violating the Master Agreement. If the Healthy Lakewood Foundation has received any funds then the Health Lakewood Foundation is required to file a 990.
If the Healthy Lakewood Foundation is interested in transparency then ALL of it transactions should be reported on its website.
Does anyone have the address for that website? I can't find it.

I do not believe that the HLF has a website yet. I have not found one.
I know that Healthy Lakewood's 2018 990 is not due until May of 2018 assuming they have a year end of 12/31. However, the Master Agreement required distributions to the Foundation in 2016. If those contributions were made then a 990 should have been filed for 2016. If those contributions were not made then the Clinic violated the terms of the agreement. That's the opinion of a non lawyer so feel free to chime in.
There seems to be a consensus of opinion that the Healthy Lakewood Foundation is being transparent. I see no evidence of that. Not yet anyway.
In another post you pointed out that there were discussions about merging the Healthy Lakewood Foundation with the Three Arches Foundation before the Hospital was closed. Are the members of the Healthy Foundation aware of those plans? What are their thoughts on those plans?

I have no current information about either Three Arches or Healthy Lakewood. (The document I posted was from 2015).
The problem with the privatization of public funds is the resulting loss in transparency to the public. It all goes dark.
I trust that the citizen volunteers on the Foundation Planning Task Force acted in good faith and that the appointed board of Healthy Lakewood Foundation will proceed on a good-faith basis consistent with their adopted by-laws and form of organization.
Despite the terms of the Master Agreement, the creation of the "New Foundation" has been a very slow process.
My best guess is that that slow process is still underway.

One of my suspicions is that the Healthy Lakewood Foundation was never intended to be a separate Foundation. I suspect that from day one the plan was to merge the Healthy Lakewood Foundation with the Three Arches Foundation.
Was the entire process a sham? Maybe someone from the Healthy Lakewood Foundation can chime in and reassure everyone that there have been no discussions regarding the merger of the two foundations and publish a statement promising that the Healthy Lakewood Foundation will always be an independent foundation.
Is the Health Lakewood Foundation part of the Consortium discussed in the Three Arches Foundation 990?
What transparency?

I encourage everyone to download and review the Three Arches Foundation Form 990 for 2017.
This Foundation with more than $35,000,000 in net assets did next to nothing in year 2017.
A sole grant in the amount of $162,077 was made to the Cleveland Clinic Foundation.
Yep! That's it!
This exemplifies the "new model of healthcare" that the mayor and some members of city council have been crowing about.
Unbelievable!
(The self-serving statements in the Form are quite a trip, too.)
AND, it takes nineteen--count them--nineteen board members, a paid investment consultant, and a full-time employee to make a payment for a single grant.
What am I missing?
